昭和電工、株式併合による１株に満たない端数の処理に伴う自己株式の買取りに関するお知らせ

（会社法第235条第２項、第234条第４項及び第５項の規定に基づく自己株式の買取）

東京, 2016年08月09日 - (JCN Newswire) - 当社は、本日開催の取締役会において、会社法第 235 条第２項、第234条第４項及び第５項の規定に基づく株式併合による１株に満たない端数の処理について、下記のとおり決議いたしましたのでお知らせいたします。

１．買取りの概要

当社は、平成28年３月30日開催の第107回定時株主総会の決議に基づき、平成28年７月１日を効力発生日として株式併合（10株を１株に併合）を行いました。

この株式併合により生じた１株に満たない端数の処理につきましては、本日開催の取締役会において、会社法第235条第２項、第234条第４項及び第５項の規定に基づき、自己株式として買い取ることを決定いたしました。

２．買取りの内容

（１）買い取る株式の種類: 当社普通株式
（２）買い取る株式の総数: 3,735株
（３）買取りと引き換えに交付する金額の総額: 買い取る株式の総数に買取日（平成28年８月９日）の株式会社東京証券取引所における当社普通株式の終値を乗じた金額。ただし、当該日に売買取引がない場合は、その後、株式会社東京証券取引所において最初になされた売買取引の成立価格とする。
（４）買取日: 平成28年８月９日
ただし、当該日に売買取引がない場合は、その後、株式会社東京証券取引所において最初に売買取引がなされた日。
