昭和電工、処分価格等の決定に関するお知らせ

東京, 2018年03月07日 - (JCN Newswire) - 昭和電工株式会社(社長：森川宏平)(以下「当社」といいます。)は、平成30年3月6日開催の当社取締役会において決議いたしました海外募集による自己株式の処分に関し、下記のとおり処分価格(募集価格)等を決定いたしましたので、お知らせいたします。

1. 海外募集による自己株式の処分
(1) 処分価格(募集価格) 1株につき金 4,544円
(2) 処分価格(募集価格)の総額 27,264,000,000円
(3) 払込金額 1株につき金 4,350.60円
(4) 払込金額の総額 26,103,600,000円
(5) 払込期日平成 30年3月22日(木)
(注)引受人は払込金額で買取引受けを行い、処分価格(募集価格)で募集を行います。

＜ご参考＞
1. 募集価格の算定
(1) 算定基準日及びその価格平成 30年3月6日(火) 4,835円
(2) ディスカウント率 6.02％

2. 今回の調達資金の使途
本海外募集による手取概算額合計約260億円については、(1)SGL GE Holding GmbH買収に伴う借入金の返済及び統合によるシナジー効果発現のための各種投資にかかる資金として2018年12月末までに約160億円を、(2)電子材料用高純度ガスにおける国内外での生産能力増強にかかる設備投資資金として2019年12月末までに約50億円を、(3)アルミ缶におけるベトナム・タイ拠点の生産能力増強にかかる設備投資資金として2018年12月末までに約20億円を、(4)リチウムイオン電池材料の事業基盤強化及びパワー半導体用SiCエピウェハーの生産能力増強にかかる設備投資資金として2019年12月末までに約 30億円を、各々充当する予定です。
