昭和電工、インドネシア・持分法適用会社株式の譲渡について

東京, 2018年05月29日 - (JCN Newswire) - 当社は、平成29年7月24日に公表しましたインドネシアの持分法適用会社であるインドネシア・ケミカル・アルミナ社（以下、ICA）の当社保有株式の売却に関して、親会社であるアンタム社への全株式譲渡について基本合意を得ると共に、本日開催の取締役会において、株式譲渡について決議しましたのでお知らせいたします。

1. ICAの概要
(1)名称: インドネシア・ケミカル・アルミナ社（PT. INDONESIA CHEMICAL ALUMINA）
(2)所在地: 本社：インドネシアジャカルタ; 工場：インドネシア西カリマンタン州タヤン地区
(3)代表者の役職・氏名: President, Anas Safriatna
(4)資本金: 188,500千ドル
(5)株主・出資比率: アンタム社 80％、昭和電工株式会社 20％
(6)設立: 2007年2月
(7)生産品目: アルミナ及び水酸化アルミニウム

2. 株式譲渡に関して
(1)譲渡価額: 備忘価額
(2)取締役会決議日: 平成30年5月29日
(3)株式譲渡契約締結日: 平成30年5月29日
(4)株式譲渡実行日: 平成30年8月31日（予定）

3. 平成30年12月期業績に与える影響
現在ICAの工場は操業を停止しておりますが、操業再開にあたり発生する費用等は、株主持分比率に応じ両社が負担することとなっておりますが、平成30年12月期業績に与える影響につきましては軽微であります。

なお、平成29年12月期第2四半期にて、ICAに関し持分法投資損失約100億円、同社に対する保証債務、貸付金他について特別損失約67億円を計上しております。
