日立、台湾の昇降機事業会社永大機電の株式に対する公開買付けの開始について

東京, 2019年01月16日 - (JCN Newswire) - 株式会社日立製作所(執行役社長兼CEO:東原敏昭／以下、日立)は、100％子会社である台湾日立電梯股※有限公司を通じて、台湾証券取引所に上場している、台湾の昇降機事業会社である永大機電工業股※有限公司(董事長:許瑞鈞／以下、永大機電)の発行済株式の全数取得を目的として、2019年1月17日から一株当たり60.0台湾ドルで公開買付けを開始します。日立は、2018年10月26日付ニュースリリース「日立が台湾の昇降機事業会社永大機電の株式に対する公開買付けを決定」において、本公開買付けの計画を公表しており、このたび、実施の前提となる関係政府当局の承認が得られたことから、本公開買付けを行います。

現在、日立は100％子会社の株式会社日立ビルシステム(取締役社長:関秀明)と合わせて永大機電の11.7％の株式を保有しており、本公開買付けにより、同社の完全子会社化をめざします。なお、本公開買付けに先立ち、日立は、永大機電の4.3％の株式を保有する永大機電の創業家の許作立氏との間で、同氏が本公開買付けに応募する旨の契約を締結しています。

本公開買付けにより、日立は、50年にわたる永大機電との協業関係をさらに深化させ、中華人民共和国・アジアにおける事業の拡大を図り、製品・サービスのグローバル展開を加速します。
