日立など、会社分割による産業分野向け受変電設備事業の強化に係る吸収分割契約の締結について

東京, 2019年02月06日 - (JCN Newswire) - 株式会社日立製作所(執行役社長兼 CEO:東原敏昭/以下、日立)と株式会社日立産機システム(取締役社長:荒谷豊/以下、日立産機)は、2018年11月12日に、産業分野向け受変電設備事業のエンジニアリング力や販売力の強化、デジタル技術を用いた高付加価値サービス事業の展開を目的に、2019年4月1日付で、日立が手掛ける33kVを超える特別高圧の産業分野向け受変電設備の販売およびエンジニアリング部門を、会社分割（以下、本会社分割）により日立の100%子会社である日立産機に承継することを発表しました。

本日、本会社分割に係る吸収分割契約（以下、本吸収分割契約）を締結しましたので、2018年11月12日付のニュースリリースで未定としていた事項などについて下記のとおりお知らせします。未定としていた事項については当該事項に、記載の一部を変更した事項については当該変更箇所にそれぞれ下線を付しています。

日立グループにおける産業分野向けの全ての受変電設備の製造（*1）から販売までを日立産機が一貫して担う体制とし、さらなるエンジニアリング力および販売力の強化によるお客さま対応の迅速化、関係強化を図ることで、産業機器分野のダイナミックな市場の変化やニーズの多様化に対応し、デジタル技術を用いた高付加価値サービスを提供していきます。
