ソニー、自己株式取得に係る事項の決定に関するお知らせ

（会社法第459条第1項の規定による定款の定めに基づく自己株式の取得）

東京, 2019年02月08日 - (JCN Newswire) - 当社は、本日開催の取締役会において、以下のとおり、会社法第459条第1項及び当社定款第34条の規定に基づき、自己株式取得に係る事項について決議しましたので、お知らせいたします。

1.自己株式の取得を行う理由

当社は、株主の皆様への利益還元は継続的な企業価値の増大及び配当を通じて実施していくことを基本と考えております。今回、当社の財務状況及び株価の状況等を考慮した結果、自己株式の取得を実施することにしました。

2.取得に係る事項の内容

（1）取得対象株式の種類:普通株式
（2）取得し得る株式の総数:3,000万株（上限）（発行済株式総数（自己株式を除く）に対する割合:2.36%）
（3）株式の取得価額の総額:1,000億円（上限）
（4）取得期間:2019年2月12日～2019年3月22日
（5）取得方法:東京証券取引所における取引一任契約に基づく市場買付

なお、市場動向等により、一部または全部の取得が行われない可能性もあります。

- 発行済株式総数（自己株式を除く）:1,269,539,576株
- 自己株式数:1,167,866株
