マツダ、監査等委員会設置会社への移行に関するお知らせ

広島, 2019年03月01日 - (JCN Newswire) - 当社は、本日開催の取締役会において、「監査役会設置会社」から「監査等委員会設置会社」に移行する方針を決議いたしましたので、下記のとおりお知らせいたします。なお、本移行につきましては、本年６月に開催予定の当社第 153 回定時株主総会において承認されることを条件に実施いたします。

1. 移行の目的
当社は従来から、持続的成長及び中長期的な企業価値の向上を目指し、コーポレート・ガバナンスの充実に継続的に取り組んでまいりました。

今般、当社を取り巻く事業環境が急速に変化する中、経営に関する意思決定の更なる迅速化、取締役会における経営戦略等の議論の一層の充実と監督機能の強化を目的として、取締役会における重要な業務執行の決定の相当部分を業務執行取締役に委任できる「監査等委員会設置会社」に移行することといたしました。

2. 移行の時期
本年６月に開催予定の当社第 153 回定時株主総会において、必要な定款変更等について承認をいただき、監査等委員会設置会社に移行する予定です。

3. その他
定款変更の内容及び役員人事等を含む移行の詳細につきましては、決定次第お知らせいたします。
