日立、台湾の昇降機事業会社永大機電の株式に対する公開買付けの価格変更について

東京, 2019年03月25日 - (JCN Newswire) - 株式会社日立製作所(執行役社長兼CEO:東原敏昭／以下、日立)は、100%子会社である台湾日立電梯股※有限公司(以下、台湾日立電梯)を通じて、台湾証券取引所に上場している、台湾の昇降機事業会社である永大機電工業股※有限公司(董事長:許瑞鈞／以下、永大機電)の発行済株式の全数取得を目的として、2019年1月17日から2019年4月22日まで公開買付け*1を実施しています。台湾日立電梯は、このたび、本公開買付けの買付け価格を当初の一株当たり60.0台湾ドルから65.0台湾ドルに変更することを決定し、本日、台湾金融監督管理委員会へ申請しました。買付け価格の変更は、永大機電株主の皆さまにとって、より魅力的な株式の売却機会を提供することで、本公開買付けに対してより多くの応募を促し、本公開買付けの目的を、より迅速かつ円滑に達成するために決定したものです。

日立は、本公開買付け期間における唯一の公開買付け者として、永大機電の発行済株式の全数取得を企図しており、同社の完全子会社化をめざしています。本公開買付けを通じて、日立は、50年にわたる永大機電との協業関係をさらに深化させ、中華人民共和国・アジアにおける事業の拡大を図り、製品・サービスのグローバル展開を加速します。日立は、永大機電の最適なパートナーとして、永大機電製品をラインアップに加え、日立の強みであるIoTをはじめとする高度な技術力と融合することで、製品競争力の強化や保全サービスの高度化を実現します。
