エーザイ、新株予約権証券の発行登録書の提出について

東京, 2019年06月24日 - (JCN Newswire) - 当社は、本日、「当社企業価値・株主共同の利益の確保に関する対応方針」（以下、本対応方針）に基づき、新株予約権証券の発行登録書を関東財務局に提出しました。本発行登録書の概要は下記の通りです。なお、本件は2018年6月20日に提出した発行登録書の期間（2018年7月1日から2019年6月30日）終了に対応するものです。

１．募集有価証券の種類：新株予約権証券
２．発行予定期間：発行登録の効力発生予定日から1年を経過する日まで（2019年7月1日から2020年6月30日）
３．募集方法：株主割当
４．発行予定額：8億円
（上記は、新株予約権証券の発行価額の総額（無償）に新株予約権の行使に際して払い込むべき金額の合計額を合算した金額）

2019年6月20日に開催した取締役会において、社外取締役独立委員会より本対応方針を継続する旨の提案がなされ、審議の結果、提案通りに決議しました。

本発行登録は機動的な株主割当による新株予約権発行を可能とするものです。
