NEC、指名・報酬委員会の体制変更について

東京, 2019年06月24日 - (JCN Newswire) - NECは、コーポレート・ガバナンス強化の取り組みの一環として、指名・報酬委員会の体制を本日付で変更しました。具体的には、同委員会を社外取締役3名、社内取締役(非業務執行)1名の計4名体制とし、従来委員であった執行役員社長は退任しました。これにより同委員会の委員は、社外取締役が過半数かつ全員が非業務執行取締役となり、従来以上に独立性・客観性に配慮した構成となります。

指名・報酬委員会について
(1)取締役、代表取締役および監査役ならびに会長および執行役員社長の人事、ならびに(2)取締役、代表取締役および執行役員の報酬体系・報酬水準について会社の業績等の評価を踏まえ、客観的視点から審議を行い、その結果を取締役会に報告しています。
