昭和電工、定款の一部変更に関するお知らせ

東京, 2020年02月13日 - (JCN Newswire) - 当社は、本日開催の取締役会において、2020年３月26日開催予定の第111回定時株主総会に、定款の一部変更について付議することを決議いたしましたので、下記のとおりお知らせいたします。

１．定款変更の目的

(1) 総会の招集(変更案第 12 条)について
株主総会の柔軟な運営のため、定款第 12 条第２項の一部を変更するものであります。

(2) 代表取締役および役付取締役(変更案第 20 条)について
機動的な業務執行を確保するため、社長を執行役員からも選定できるよう、定款第 20 条第２項の一部を変更するものであります。また、変更案第３項のとおり、役付取締役についての記載を整理いたします。

(3) 取締役会の招集権者(現行定款第 21 条)について
取締役会の柔軟な運営のため、会社法第 366 条第１項に規定される定款の定めを削除するものであります。

(4) 執行役員(変更案第 27 条)について
当社が第 93 期から採用している執行役員制度を定款上明確に規定するため、変更案第 27 条を新設するものであります。

(5) その他の変更の理由(変更案第 12 条第 13 条)について
他の規定の記載との平仄を合わせるため、変更案第 12 条、第 13 条の表題を変更するものであります。
