NEC、スイスの大手金融ソフトウェア企業Avaloq社を傘下におくWP/AV CH Holdings I社の株式取得(子会社化)に関するお知らせ

東京, 2020年10月05日 - (JCN Newswire) - 当社は、2020年10月3日開催の取締役会において、以下のとおり、スイスの大手金融ソフトウェア企業であるAvaloq Group AG(以下「Avaloq社」といいます。)を100%所有する持株会社であるWP/AV CH Holdings I B.V.(以下「WP/AV CH Holdings I社」といいます。)の全株式を取得すること(以下「本買収」といいます。)について決議し、同社の株式を保有するAvaloq社の持株会およびWarburg Pincusが運営する特別目的会社などと株式売買契約を締結しましたので、お知らせします。

当社の取得価額は20.5億スイス・フラン(約2,360億円)であり、2021年4月までの買収完了を予定しています。なお、本買収は、各国の競争当局の承認など必要な手続き終了後、完了する予定です。
