NEC、Avaloq社の全株式を保有する特別目的会社への出資受け入れについて

東京, 2021年01月29日 - (JCN Newswire) - NECは、昨年12月に子会社化したスイスの大手金融ソフトウェア企業Avaloq Group AG（以下「Avaloq社」）の買収のために設立し、Avaloq社の全株式を保有する特別目的会社において、株式会社海外通信・放送・郵便事業支援機構（本社：東京都千代田区、代表取締役社長：福田良之、以下 JICT）からの出資を受け入れることを決定しました。

具体的には、NECが保有する特別目的会社の株式の一部をJICTに約3億スイス・フラン（注）で譲渡します。JICTは本年２月以降に出資予定であり、特別目的会社への出資比率は約14%となります。

NECは今回のJICTからの出資受け入れにより、Avaloq社の経営権を維持したまま買収費用を軽減し、さらなる成長投資に資金を振り向けることが可能となります。

経済・社会のデジタル化が加速する中、とりわけ行政と金融の間での連携が加速することが期待されており、デジタルガバメントとデジタルファイナンスの領域は安全・安心・公平・効率な社会の形成に向けて重要な役割を担うと考えられています。

NECはAvaloq社に加え、グループ会社の英国のNorthgate Public Services社、デンマークのKMD社の3社を中核にしながら、デジタルガバメントとデジタルファイナンスの両輪で事業を展開し、同領域のソフトウェア事業においてグローバルトップポジションを目指します。
