エーザイ、スポンサー付き米国預託証券（ADR）プログラムの廃止に関するお知らせ

東京, 2022年12月16日 - (JCN Newswire) - エーザイ株式会社（本社：東京都、代表執行役CEO：内藤晴夫）は、このたび、2023年1月31日（予定）をもって、スポンサー付き米国預託証券（ADR）を廃止することを決定しましたのでお知らせします。

当社は、米国資本市場における投資家の利便性向上を目的に、1995年よりスポンサー付きADRを発行していましたが、日本の金融・証券市場の国際化の進展に伴い、外国人投資家の日本市場へのアクセスが容易となったため、これを廃止することとします。

1．スポンサー付き米国預託証券（ADR）について
ADRとはAmerican Depositary Receiptの略で、外国企業株式を裏付けとして米国での流通を目的に発行される、ドル建ての譲渡可能記名式証書です。スポンサー付きADRとは、原株式の発行会社が特定の預託銀行と預託契約を締結し、発行会社、預託銀行および投資家（ADR保有者）の権利義務を明確化したうえで預託銀行が発行するADRです。
